Business developer · market entry · qualified introductions · introduction agreement · Luxembourg

A business developer in Luxembourg who reads the numbers behind every introduction.

Business development for a foreign company entering Luxembourg is a commercial service, and in Luxembourg commercial services are carried out under a business permit. I hold business permit 10077275 / 3 for auxiliary commercial services, under which general commercial introductions, the market-entry file and the commercial back office are delivered, and business permit 10077275 / 2, which is specific to real estate business introductions. Every introduction is made under a written introduction agreement, and every counterparty is qualified on its accounts before a name is exchanged.

Direct answer
A business developer in Luxembourg opens a market for a company that does not yet have a presence there: a market-entry file that says whether and how the activity can be carried out, qualified introductions to partners, clients and suppliers under a written introduction agreement, and the commercial back office that keeps the pipeline documented. In Luxembourg these are commercial services under the amended law of 2 September 2011 and require a business permit. Mickaël LOC holds permit 10077275 / 3 (auxiliary commercial services) for general commercial introductions and back office, and permit 10077275 / 2, which covers real estate business introductions only. Both are verifiable on Guichet.lu. The service does not include the placement of financial instruments, investment advice or any regulated intermediation.

Business permits · official record

Which business permits this service relies on. The Luxembourg business permit (autorisation d'établissement, Niederlassungsgenehmigung) is the authorisation required under the amended law of 2 September 2011 to carry out a commercial, craft or liberal activity. It is granted by the Ministry of the Economy to a named person who must direct the business in a real, effective and permanent way. This service relies on the following activities, listed in the public register:

  • 10077275 / 2 — Real estate business introducer (issued 25/03/2025)
  • 10077275 / 3 — Auxiliary commercial activities and services (issued 25/03/2025)

Business development that starts with a market-entry file

Most foreign companies that fail in Luxembourg do not fail on demand. They fail on sequence. They sign a first client before they know whether the activity needs the business permit Luxembourg requires, before VAT registration, before anyone has read the accounts of the partner who promised the volume. A business developer who also keeps books sees that order problem immediately: it is the same problem a late annual accounts file reveals. The calendar was never written.

The engagement therefore begins with a market-entry file, not with a list of names. It answers, in writing, whether the activity can be carried out in Luxembourg and under which business permit, which legal form and registrations it needs, what the cost base and pricing look like once Luxembourg salaries, rents and VAT are in the model, who the realistic counterparties are, and which of them pass a first screening on filed accounts. It is a document the client can take to its board, its bank and its lawyer, and the document that decides whether any introduction should be made at all.

Where the answer is yes, the set-up page describes the formation and substance work that follows. Where the answer is no, the file costs a fraction of a failed entry and the engagement ends there.

The introduction agreement, clause by clause

Introducers are circumvented so often because they work without a contract. I do not make an introduction, general or real estate, without a signed introduction agreement. Its five clauses are fixed before any name is exchanged.

  • Perimeter. Which counterparties, which territory, which products or services, and which of my two business permits the introduction falls under: general commercial introductions under 10077275 / 3, real estate introductions under 10077275 / 2. An introduction outside the perimeter is not an introduction under the agreement.
  • Fee event. The precise event that triggers the fee: a signed contract, a first invoice paid, a completed transaction. Not “a meeting”, not “a lead”. The fee is a commercial introduction fee, agreed in writing and invoiced by Financial Services Luxembourg.
  • Duration. The term of the agreement, and the tail period during which a contract signed with an introduced counterparty still triggers the fee.
  • Traceability. Each introduction is dated, named and acknowledged in writing by the client, so that neither party has to reconstruct who introduced whom a year later.
  • Non-circumvention. The client undertakes not to contract with an introduced counterparty through another channel to avoid the fee. The clause is drafted by the client's avocat or mine; it is a contract term, not a slogan.

The agreement is signed after the NDA and before the first qualification note. A client who does not want a written frame does not want qualified introductions. It wants a free list, and that is not the service.

Qualification

Each potential partner, client or supplier is read on its filed annual accounts, its RCS and RBE entries and its management. A qualification note states what the numbers support and what they do not.

Introduction under agreement

04
Commercial back office

Pipeline log, follow-up calendar, offer and contract tracking, invoicing on the fee event, reporting to the client's management. The pipeline exists on paper, not only in someone's head.

What makes this different from a sales agent is the qualification step. I read a counterparty's accounts the way I read a client's: filing history, equity, working capital, related-party balances, auditor's opinion where there is one. A partner that cannot pay is screened out before the introduction, not discovered after the invoice.

Two permits, two perimeters

Business permit 10077275 / 2 covers real estate business introductions only: an asset, a developer, a fund, an agency. General commercial introductions, a distributor, a client, a supplier, a service partner, are delivered under business permit 10077275 / 3 for auxiliary commercial services. The introduction agreement names the permit the introduction falls under, so the perimeter is never a matter of interpretation.

What I do not accept

  • An introduction without a signed introduction agreement, or with a fee event that cannot be stated in one sentence.
  • A counterparty whose beneficial owners cannot be documented to a normal anti-money-laundering standard, on either side of the introduction.
  • An introduction whose purpose is to raise capital, place securities or find investors for a fund or a financial product.
  • A client that asks me to speak in its name as if I were its employee, or to sign on its behalf without a written mandate.
  • A success fee quoted before the activity, the target list and the counterparties' accounts have been read.

Frequently asked questions

Does a business developer need a business permit in Luxembourg?
Business development delivered as a service to third parties, introductions, market-entry analysis, commercial back office, is a commercial activity under the amended law of 2 September 2011 and is carried out under a business permit from the Ministry of the Economy. I hold business permit 10077275 / 3 for auxiliary commercial services and business permit 10077275 / 2 for real estate business introductions, both listed in the public register on Guichet.lu.
What is the difference between permit 10077275 / 2 and permit 10077275 / 3?
Permit 10077275 / 2 is the activity of apporteur d'affaires immobilier: it covers the introduction of real estate business only, an asset, a developer, a fund or an agency. General commercial introductions, a distributor, a client, a supplier or a service partner, fall under auxiliary commercial services, permit 10077275 / 3. The introduction agreement names which permit each introduction falls under.
What does the introduction agreement contain?
Five clauses, fixed before any name is exchanged: the perimeter of the introductions, the fee event that triggers the fee, the duration of the agreement and its tail period, the traceability of each introduction, dated and acknowledged in writing, and a non-circumvention undertaking. The agreement follows the NDA and is drafted or reviewed by an avocat.
How do you qualify a partner or a client?
On its documents. Luxembourg annual accounts are filed with the RCS and are public, as is the RCS entry. I read the filing history, equity, working capital, related-party balances and the auditor's opinion where there is one, and I write a qualification note that states what the numbers support. A counterparty that cannot pay is screened out before the introduction.
Can you introduce investors or raise capital for us?
No. Introducing investors, placing securities or financial instruments and advising on investments are regulated financial-sector activities reserved to licensed professionals. My business permits cover commercial introductions and real estate business introductions. If a client's need is capital, I say so in the market-entry file and the engagement stops there or is referred.
How are you paid?
A fixed fee for the market-entry file, a retainer plus a fee on the agreed fee event for introductions, and a monthly fee for the commercial back office. The fee event and its amount are written in the introduction agreement before the first introduction. Fees are invoiced by Financial Services Luxembourg and are quoted after the activity, the target list and the counterparties' accounts have been read, never before.
Can you also set up the Luxembourg company once the market-entry decision is positive?
Yes. Formation project management, registrations, workspace with auxiliary services and, where agreed, a resident manager mandate are delivered under business permits 10077275 / 3 and / 4. The market-entry file is written so that it becomes the first document of the formation file.

Send a one-page description of the activity and the counterparties you want.

One message describing what you sell, to whom, and who you would like to meet in Luxembourg is enough for a first answer on perimeter, permit and calendar, under NDA. Fees are quoted after the file has been read, never before.
