Wealth · governance · family transmission · Luxembourg

Transmitting wealth means transmitting an organisation.

Wealth is transferred by deeds drafted by a notary or a lawyer. It is preserved by governance: who decides, who knows, who signs, and who takes over when the founder is no longer there. I organise that second part, with registers, accounting and a resident manager, and I coordinate the first with your advisers.

Direct answer
Organising the transmission of wealth in Luxembourg means mapping what is held and by whom, choosing the vehicles (holding, SPF), allocating roles and powers, setting rules of decision and information, then planning the handover in stages. Legal deeds stay with the notary and the lawyer.

Where a wealth transmission fails

The wealth passes, the governance does not

Heirs receive assets with no shared decision rule. The first disagreement on a sale, a financing or a distribution blocks the structure.

Exposure: family conflict
A single keeper of knowledge

The founder holds the information, the banking relationships and the passwords. His departure or incapacity leaves a structure with no memory.

Exposure: continuity
A vehicle that does not follow the next generation

Articles designed for one person, non-resident heirs, activities that leave the perimeter of an SPF: the vehicle must be re-read before the transmission.

Exposure: structure
A company without a manager

If the manager disappears with no deputy, bank accounts, filings and payments are blocked while a successor is appointed.

Exposure: management

Five elements of a transmission governance

  1. Mapping. What is held, through which vehicle, with which documents, contracts and debts.
  2. Roles and powers. Who decides what, who signs what, who informs whom, with written thresholds.
  3. Decision and information rules. Majorities, right to information, conflicts of interest, exit of a family member.
  4. Handover in stages. A timetable that gradually involves successors in reading the accounts and in decisions.
  5. Documentation and annual review. Registers, resolutions, updated family charter, an independent manager who guarantees discipline.
The role of an independent manager

In a family holding, a manager or director with no capital link to the family reads the accounts, takes part in decisions and can refuse a resolution he cannot defend. He provides continuity of management when the founder steps back, and he makes governance visible to a bank or an adviser.

Frequently asked questions

How do I organise the transmission of my wealth in Luxembourg?
In five steps: map the wealth and its holders, choose the vehicles (holding, SPF), allocate roles and powers, set rules of decision and information, then plan the handover in stages. Legal deeds, a will, a gift or a marriage contract, are drafted by a notary or a lawyer.
What role do a holding or an SPF play in the transmission?
They group the assets in a single vehicle: shares are transferred rather than assets one by one, and governance rules are set in the articles and an agreement. The choice depends on the nature of the assets: the SPF is reserved for the management of the private wealth of individuals.
Which law applies to the succession of a foreign resident?
Regulation (EU) No 650/2012 designates in principle the law of the deceased's habitual residence at the time of death, and allows the choice of the law of his nationality. Each family's situation is checked with a notary or a lawyer before any organisation.
What is an independent manager in a family holding?
A manager or director with no capital link to the family, who reads the accounts, takes part in decisions and can refuse a resolution he cannot defend. He provides continuity of management and governance discipline, especially on the departure or incapacity of the founder.
What happens if the manager of a company dies?
The company must be managed: without a manager, it can no longer act validly and the shareholders must appoint one. Providing in advance for a deputy or transition manager avoids blocking bank accounts, filings and payments during the appointment.
What do you do, and what do you not do?
I organise governance, keep registers and accounting, hold manager mandates and coordinate with the notary and the tax adviser. I do not draft deeds, I do not give binding tax opinions and I carry out no regulated financial-sector activity: neither investment advice nor portfolio management.
