A local manager manages, he does not lend his name.
For a foreign group opening a subsidiary, for a buyer replacing the departing founder, or for a holding that must prove its substance, a resident manager is often the condition of a defensible file. I accept a limited number of manager mandates, held in my own name, with real decision power, a fixed fee and a written exit.

When a local manager is needed
The company needs a reachable manager who understands the file, answers the bank and proves that decisions are taken in Luxembourg.
Need: substance and bank accessThe buyer is not always ready to manage alone from closing. A transition mandate prevents the company from being left without a manager or the founder staying by default.
Need: continuityBoard meetings held in Luxembourg, documented resolutions, a manager who is present: without these, the place of effective management can be challenged.
Need: tax residenceWithin the perimeter of my nine activities, I can carry the effective management after reviewing the file. Outside that perimeter, the answer is no.
Need: authorisationWhat the mandate actually contains
- Traceability of decisions. Dated resolutions, minutes, a conflict-of-interest register, consistent with the accounts.
- A second reading before commitment. Financing, related parties, distributions and significant contracts examined before signing.
- A reachable counterparty. An identified, resident manager who answers a bank or an administration in the language of the file.
- A defensible refusal. The value of a manager is concentrated in the decisions he refuses to take.
A nominee lends a signature and stays out of the decision. A local manager takes the office and bears its consequences. Banks, administrations and buyers now distinguish the two very well. Nor is this domiciliation: domiciliation is a matter for a partner law firm and is not covered by my authorisations.
Acceptance criteria, the manager's responsibility and mandate formats are detailed on the Directorship page. This page deals with the particular case of the local manager and of transition. The guide Mandat d'administrateur au Luxembourg : le dossier de contrôle avant signature (in French) sets out twelve checks with their sources.

The exit is documented before the entry: a transition that is not written becomes a permanent mandate by default.
The transition appears in the memorandum of understanding: duration, powers, the founder's resignation, the transition manager's appointment.

on the agreed dateWhat I do not accept
- Mandates where the expectation is a signature with no real role in the decision.
- Structures whose beneficial ownership cannot be documented to a normal anti-money-laundering standard.
- Management of an authorised activity outside the perimeter of my nine authorisations, or without own qualification.
- Fees indexed to the value of a transaction, to a success, or a stake in the capital on a corporate mandate.
- Any mandate in a company for which I receive a fee conditional on closing.
